Comverge Announces Follow-On Public Offering
East Hanover, NJ: November 6, 2007 – Comverge, Inc. (NASDAQ: COMV), a leading clean capacity provider through demand response and energy efficiency, announced today that it has commenced distribution of preliminary prospectuses in anticipation of a follow-on public offering of 1,370,000 shares of common stock that will be offered by Comverge and 5,480,000 shares of common stock to be offered by certain stockholders. The selling stockholders will also grant the underwriters a 30-day option to purchase up to 1,027,500 additional shares of common stock. The offering is being made pursuant to a prospectus filed as part of a registration statement on Form S-1 filed with the Securities and Exchange Commission.
The underwriters of the offering will be Citi and Goldman, Sachs & Co., as joint book-running managers. Cowen and Company, LLC and RBC Capital Markets Corporation will be co-lead managers.
