Comverge Certified as a Meter Data Service Provider in State of New York

FLORHAM PARK, NJ-July 25, 2002-Comverge, Inc., a subsidiary of Data Systems & Software Inc. (NASDAQ: DSSI), announced today that it has been granted provisional certification to act as a Meter Data Service Provider (MDSP) in the state of New York.

This month, the Company received a Letter of Compliance from the State of New York Department of Public Service, which entitles Comverge to participate fully in load curtailment and other related energy management projects, effective immediately, throughout the state of New York. As excerpted from the letter, Comverge became certified due in part to, "current expertise providing customers with energy consumption data collection, communication and analysis in a web based environment for load curtailment and other energy management purposes, which require an MDSP be New York State certified."

Robert M. Chiste, CEO of Comverge Technologies, Inc., stated, "The state of New York is plagued with an overburdened and outdated energy management system. According to a March 2002 New York Independent System Operator (NYISO) report, New York State needs an additional capacity of 7,100 megawatts (MW) by 2005---of which 2,000 to 3,000 MW must be located in New York City. One of the NYISO's recommendations is to 'encourage the development of smart metering to empower consumers to assist in demand response measures.' With an MDSP certification, Comverge can now supply this opportunistic market with much needed load curtailment services and smart metering initiatives."

Chiste continued, "We are proceeding with our previously announced smart metering initiative with our partners, Gulf Power, a subsidiary of the Southern Company (NYSE: SO), and Energy Investment Systems. The project will supply Manhattan building owners and their occupants advanced metering and peak load management services.
